By accessing or using our blockchain document attestation services, website, API, or any related platforms (collectively, the "Services"), you agree to be bound by these Terms.
Important: If you do not agree to these Terms, you must not access or use our Services. By creating an account or using our Services, you represent that you have read, understood, and agree to be bound by these Terms.
These Terms apply to all visitors, users, and others who access or use the Services, including Enterprise customers who may have additional terms in their service agreements.
2. Description of Services
TRACE Protocol provides blockchain-based document attestation services that enable users to:
- Document Attestation: Create immutable, timestamped records of documents on public blockchains
- Verification: Verify the authenticity and timestamp of previously attested documents
- Certificate Generation: Generate verifiable certificates of attestation
- API Access: Integrate attestation services into your applications
- Batch Processing: Attest multiple documents efficiently using Merkle tree technology
Note: TRACE Protocol processes cryptographic hashes of your documents. Unless you explicitly opt for document storage, your actual documents are never transmitted to or stored by us.
2.1 Supported Blockchains
Our Services currently support attestations on the following blockchain networks:
- BNB Smart Chain (BSC)
- Polygon
- Solana
We may add or remove supported blockchains at our discretion with reasonable notice to users.
2.2 Service Availability
We strive to maintain 99.9% uptime for our Services. However, we do not guarantee uninterrupted access and are not liable for any downtime, whether scheduled or unscheduled, or for any issues arising from blockchain network congestion or failures.
3. Account Registration
3.1 Account Requirements
To use certain features of our Services, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and accept all risks of unauthorized access
- Immediately notify us of any unauthorized use of your account
- Be at least 18 years of age or the age of legal majority in your jurisdiction
3.2 Account Security
You are responsible for all activities that occur under your account. We strongly recommend enabling two-factor authentication (2FA) when available. We are not liable for any loss or damage arising from your failure to maintain account security.
3.3 Enterprise Accounts
Enterprise accounts may have additional features, terms, and dedicated support as specified in separate service agreements. Enterprise administrators are responsible for managing user access within their organization.
4. Acceptable Use
4.1 Permitted Uses
You may use our Services for any lawful purpose consistent with these Terms, including:
- Attesting business documents, contracts, and agreements
- Creating proof of existence for intellectual property
- Compliance and audit trail documentation
- Supply chain verification
- Academic and research credential verification
4.2 Prohibited Uses
You agree NOT to use our Services to:
- Violate any applicable laws, regulations, or third-party rights
- Attest fraudulent, misleading, or falsified documents
- Infringe intellectual property rights of others
- Transmit malware, viruses, or other malicious code
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the integrity of our Services
- Engage in any activity that could damage our reputation
- Circumvent any access controls or usage limits
- Resell or redistribute our Services without authorization
Warning: Violation of these terms may result in immediate account termination and may be reported to appropriate authorities.
5. Payment Terms
5.1 Pricing
Our Services are offered under various pricing tiers as described on our website. Prices are subject to change with 30 days' notice to active subscribers. Free tier limitations and paid plan features are detailed in our pricing documentation.
5.2 Payment Processing
All payments are processed through our third-party payment processor (Stripe). By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for any taxes applicable to your use of the Services.
5.3 Subscription Terms
- Subscriptions automatically renew unless cancelled before the renewal date
- No refunds are provided for partial subscription periods
- Downgrades take effect at the next billing cycle
- Enterprise billing terms are specified in individual agreements
5.4 Blockchain Fees
Attestation fees include estimated blockchain transaction costs. Actual blockchain fees may vary based on network conditions. We reserve the right to adjust pricing to reflect significant changes in blockchain transaction costs.
6. Intellectual Property
6.1 Our Intellectual Property
The Services, including all content, features, and functionality (including but not limited to software, text, graphics, logos, and design elements), are owned by XDRIP Digital Management LLC and are protected by copyright, trademark, and other intellectual property laws.
6.2 Your Content
You retain all rights to your documents and content. By using our Services, you grant us a limited license to process your document hashes solely to provide the attestation services. We do not claim ownership of your documents or their contents.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about our Services may be used by us without obligation to compensate you.
7. Blockchain Terms
7.1 Immutability
Critical: Blockchain attestations are permanent and cannot be deleted, modified, or reversed. Before attesting any document, ensure you understand the permanent nature of this action.
7.2 Public Nature
Document hashes and attestation metadata recorded on public blockchains are visible to anyone. While hashes cannot be reversed to reveal document contents, the existence of an attestation is public information.
7.3 Network Risks
We are not responsible for:
- Blockchain network congestion or delays
- Changes to blockchain protocols or consensus mechanisms
- Blockchain network forks or reorganizations
- Fluctuations in transaction confirmation times
- Actions of blockchain validators or miners
7.4 No Financial Advice
Our Services involve interaction with blockchain networks but are not financial services. We do not provide investment, financial, legal, or tax advice.
8. Warranties and Disclaimers
8.1 Service Warranty
We warrant that our Services will be provided in a professional manner consistent with industry standards. We will use commercially reasonable efforts to maintain service availability and data integrity.
8.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Services will meet all your requirements
- The Services will be uninterrupted, timely, secure, or error-free
- Results obtained from using the Services will be accurate or reliable
- Any errors in the Services will be corrected
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL XDRIP DIGITAL MANAGEMENT LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to or alteration of your data
- Damages resulting from any third-party conduct or content
- Damages resulting from blockchain network issues
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to indemnify, defend, and hold harmless XDRIP Digital Management LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any third-party rights
- Your documents or content attested through our Services
- Any misrepresentation made by you
11. Termination
11.1 Termination by You
You may terminate your account at any time through your account settings or by contacting support. Upon termination, your right to use the Services immediately ceases.
11.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if we believe you have violated these Terms or engaged in fraudulent or illegal activity. We may also terminate accounts that remain inactive for extended periods.
11.3 Effect of Termination
Upon termination:
- Your access to the Services will be disabled
- Your account data will be retained according to our data retention policy
- Blockchain attestations remain permanent and are not affected
- You remain liable for any outstanding payment obligations
- Provisions that by their nature should survive termination shall survive
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
12.1 Dispute Resolution
Any disputes arising from these Terms or the Services shall first be addressed through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
12.2 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Sending an email notification to registered users
- Displaying a notice in our application
Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Services.
